Terms of Service

Welcome to NexaTherapy, an online therapy service platform that is owned and operated by NexaTherapy Pte. Ltd. (“we”, “our”, “us”). By accessing or using our services, including our website, our application, our application programming interfaces (API), and any information or content appearing therein (collectively the “Platform”), you agree to comply with and be bound by the following Terms of Service (“Terms”), regardless of whether you are a non-paying visitor, Client or Therapist.

Please read these Terms carefully before accessing or using the Platform. If you do not agree to these Terms, you must not access or use the Platform.

1. Nature of Platform / Services

1.1 Our Platform is an online marketplace that connects users with independent, qualified, credentialed, and experienced mental health professionals. We are not a healthcare provider and we do not provide therapy, counselling, or clinical services.

1.2 Please do not use the Platform for crisis or emergency situations. If you are experiencing a medical crisis or emergency, please consult a medical professional or contact emergency services immediately.

2. Platform Usage

Eligibility

2.1 To use the Platform, you must be at least 18 years of age and capable of entering into a legally binding contract. If you are under 18 years of age, you must have parental or legal guardian consent to use the Platform.

2.2 If you are accessing or using our Platform as a representative of an entity, you represent that you have the necessary authority to accept these Terms on behalf of that entity.

Acceptable Use

2.3 You agree to use the Platform only for lawful purposes and in accordance with these Terms.

2.4 You agree not to do any of the following in connection with your use of the Platform:

• Use the Platform for unlawful purposes or violation of regulations.
• Engage in conduct that restricts others from using the Platform.
• Harass, abuse, or harm another person.
• Transmit viruses or malicious software.
• Provide personal data subject to the Privacy Policy available at www.nexatherapy.com.

3. User Responsibilities

3.1 The Platform may be used to connect paying users (“Clients”) with independently qualified mental health professionals (“Therapists”) who provide services through the Platform during scheduled sessions.

3.2 Therapists are responsible for ensuring that their services, qualifications, and communications comply with relevant laws and regulations.

3.3 Users must provide accurate information when registering and maintain confidentiality of account credentials.

3.4 If you are using the Platform as a Client, you acknowledge:

• You are responsible for selecting a suitable Therapist.
• We do not verify licensing across jurisdictions.
• You must determine if online therapy is appropriate.
• You must provide accurate registration information.
• You must respect scheduled sessions and policies.
• You must engage respectfully with Therapists and staff.

4. Therapy Sessions

4.1 Session Validation

NexaTherapy does not record audio or video therapy sessions. Administrative platform records such as timestamps, logs, and booking records may be used for session validation.

Session validation processes are administrative and used for billing and dispute resolution. NexaTherapy does not assess therapy quality or clinical outcomes.

Confidentiality

4.2 NexaTherapy maintains confidentiality of session administrative data (“Session Data”). This includes booking records, logs, timestamps, and platform metadata.

4.3 Access to Session Data is restricted to authorised personnel for administrative or compliance purposes.

4.4 Therapist case notes remain under the control of the Therapist and are not accessed by NexaTherapy except when legally required.

4.5 By using the Platform you acknowledge:

• NexaTherapy does not supervise or evaluate therapeutic services.
• Session Data may be reviewed for administrative purposes.
• You are responsible for protecting your account credentials.
• Sensitive information should only be disclosed if necessary.
• Refer to the Privacy Policy for data handling practices.

Limitations

4.6 We do not guarantee therapeutic outcomes and are not liable for emotional or psychological harm arising from sessions.

Cross Border Services Disclaimer

4.7 Therapists may operate across jurisdictions and may not be licensed in your jurisdiction.

• Legal protections may differ.
• NexaTherapy is not responsible for licensing verification.
• You waive claims related to cross-border therapy regulations.

Feedback and Testimonials

4.8 Client feedback may be collected to improve service quality.

4.9 Therapists must not solicit testimonials.

4.10 Testimonials may be anonymised and moderated before publication.

4.11 NexaTherapy may publish, edit, or remove testimonials.

4.12 Testimonials may be limited in jurisdictions with healthcare advertising restrictions.

5. Payment and Cancellation Policies

Payment Terms

5.1 Therapists set their own rates displayed on the Platform.

5.2 Payments are processed through third-party payment providers.

Cancellation and No-Show Policy

5.3 Clients may cancel up to 24 hours before a session without fees.

5.4 Therapist cancellations may result in refunds or credits.

Refund Policy

5.5 Refunds follow NexaTherapy operational refund rules.

5.6 Therapist subscriptions are non-refundable.

5.7 Refunds are only provided for verified billing errors or system faults.

6. Data Protection

All personal data processing follows our Privacy Policy available at www.nexatherapy.com.

7. Liability Disclaimers

7.1 NexaTherapy may modify, suspend or discontinue the Platform at any time.

7.2 Therapists are independent providers and not employees of NexaTherapy.

7.3 The Platform may not be suitable for all mental health needs.

7.4 NexaTherapy is not liable for damages related to platform use, therapist performance, or technical failures.

7.5 The Platform is provided “as is” without warranties.

7.6 Users access the Platform at their own risk.

7.7 NexaTherapy’s liability is limited to the total amount paid in the previous 12 months.

Indemnification

7.8 You agree to indemnify NexaTherapy against claims arising from misuse of the Platform.

8. Intellectual Property

8.1 NexaTherapy owns all rights to the Platform including software, trademarks and content.

8.2 Access to the Platform is granted under a limited non-exclusive license.

8.3 Users grant NexaTherapy a worldwide license to use uploaded content.

8.4 Users warrant that uploaded content does not infringe third-party rights.

9. Miscellaneous

Amendments

9.1 We may amend these Terms at any time.

Account Suspension

9.2 Accounts may be suspended if Terms are violated.

9.3 Accounts may also be suspended upon regulatory request.

Severability

9.4 Invalid provisions will not affect the remainder of the Terms.

Entire Agreement

9.5 Additional agreements or jurisdiction-specific terms may apply.

9.6 These Terms constitute the entire agreement regarding Platform use.

9.7 Priority order: separate agreements → jurisdiction terms → these Terms → additional terms.

10. Governing Law and Dispute Resolution

10.1 These Terms are governed by the laws of Singapore.

10.2 Disputes shall be resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC). The seat of arbitration shall be Singapore and proceedings will be conducted in English.
